Name Availability

If you are forming a new entity, one of the first things you should do before beginning the registration process, is to check if the name you want is available. Each state has its own rules about entity names and you don’t want to get rejected just because you didn’t do your research. A lot of states even have a name reservation option that allows choosing a name and holding it so no one else can file with that name. A good place to start is to do a search on the Secretary of State website and see if anyone is using the exact name, or one similar to it. Many states have rules that one entity cannot use a name that too closely resembles that of another entity. In addition to not being allowed names too close to one another, there are a lot of words, generally related to professional offices that require approval from certain branches of government. Words like, banking, mortgage, and engineering often need prior written consent if you desire to use it as part of your entity name. It’s best to check with the Secretary of State to see if such a list of prior approval names exists in your state.  Once you have done a search, see if your state allows a name reservation. By taking these steps you ensure a smoother filing process and increase the chances of your filing being accepted right away. Be Sure to Include Payment Information

One of the simplest filing mistakes that can be made is failure to complete payment information correctly. Depending on the state, an entity can fax file with credit card information or mail in a check. If you are faxing or mailing credit card information pay strict attention to writing in a legible manner and be sure to double check you have filled in the correct expiration date. When paying by check it is important to make the check out to the correct state agency. If a check or credit card order form is filled out in correctly, your filing will be rejected. To save yourself from wasting time and money, always be sure your payment information is filled out according to the instructions included on the form.

Your Entity Information

When you are corresponding with your registered agent or the secretary of state it is important to make sure all your entity information is correct and up to date. When completing the initial articles of organization double check that all names and address are correct. If there is a mistake in your address or your registered agents address your filing can get rejected or you could simply be missing out on important information regarding your entity.

If you are planning on changing your business address be sure to inform your registered agent not only of the new address but also the date you plan on moving. Once your corporation is established at the new address there are quick simple address change forms made available by the Secretary of State and area easily acceptable online.

Our Registered Agent Services


"We sweat the small stuff" is our philosophy when it comes to our registered agent services. In other words, while registered agent services seem to be simple and routine, the consequences of making a small mistake can be devastating to our clients. We stress over every minor detail to ensure our clients receive maximum protection.

If CFS acts as your registered agent and is served with legal documents, it is our practice and policy to send the documents to you by email, FedEx and fax, until receipt is confirmed. We explain to our clients that these documents require their immediate attention and identify that there are deadlines associated with them. We will emphasize how critical it is for the CEO, General Counsel and / or other executive officers to be notified by the person confirming receipt.

The recent $1.26 billion default judgment against PepsiCo is a perfect example of how important it is for a registered agent to follow-through until the message is clear to the customer and delivered to the appropriate party.

The PepsiCo matter involved a series of avoidable missteps. These included: (i) confusion surrounding the delivery of documents by the registered agent to its customer; and (ii) once documents were received by an in-house lawyer's administrative assistant, the assistant apparently did not understand the importance of the documents or the associated deadlines, and after receipt she set aside the documents to be attended to at a later date while she helped prepare for a board meeting (and she did not bring the documents to the proper individuals' attention in a timely manner). As a result, PepsiCo and its lawyers failed to attend a court hearing relating to the litigation and a default judgment of $1.26 billion was entered by the judge in favor of the plaintiffs against PepsiCo.

PepsiCo unfortunately suffered public embarrassment, exposure to substantial monetary losses (the default judgment was ultimately set aside) and additional and unnecessary legal fees. CFS will not allow these things to happen to its customers. We understand the importance of our jobs, and that our customers have high expectations for us. We also understand that customers have choices, and we greatly appreciate when we are chosen by companies to serve in this important position.
